Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and CodeVoyage LLC, including all subsidiaries and affiliated companies ("CodeVoyage," "we," "our," or "us"). These Terms govern your use of our software development services, website, and related services.

By engaging our services, accessing our website, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

CodeVoyage LLC provides comprehensive software development services, including but not limited to:

• SaaS platform development and deployment
• Enterprise software solutions and architecture
• Custom application development
• Cloud infrastructure setup and management
• Legacy system modernization
• Technical consulting and advisory services
• Ongoing maintenance and support

3. Service Agreements and Scope

Project Agreements

Each software development project will be governed by a separate Service Agreement or Statement of Work (SOW) that details:

• Project scope, deliverables, and timeline
• Payment terms and project costs
• Specific technical requirements
• Acceptance criteria and testing procedures
• Support and maintenance terms

Changes to Scope

Any changes to project scope must be documented in writing and agreed upon by both parties. Additional work may result in adjusted timelines and costs.

4. Payment Terms

Payment Schedule

Unless otherwise specified in the Service Agreement:

• Payment terms are typically net 30 days
• Projects may require upfront deposits or milestone-based payments
• Recurring services are billed monthly or annually
• Late payments may incur interest charges of 1.5% per month

Accepted Payment Methods

We accept payment via:

• Bank transfer (ACH/Wire)
• Credit card (additional processing fees may apply)
• Check (for established clients)

5. Intellectual Property Rights

Client Ownership

Upon full payment for services, clients retain ownership of:

• Custom software developed specifically for your project
• Business logic and proprietary algorithms
• Data and content provided by the client
• Branding and design elements unique to your business

CodeVoyage Retention

CodeVoyage retains ownership of:

• Pre-existing intellectual property and frameworks
• General methodologies and development practices
• Reusable code components and libraries
• Technical knowledge and expertise gained

6. Confidentiality and Non-Disclosure

Both parties acknowledge that confidential information may be disclosed during the course of the relationship. We commit to:

• Maintaining strict confidentiality of all client information
• Using confidential information solely for project purposes
• Implementing appropriate security measures
• Not disclosing information to unauthorized third parties
• Returning or destroying confidential information upon request

7. Warranties and Disclaimers

Service Warranties

CodeVoyage warrants that:

• Services will be performed in a professional manner
• Work will substantially conform to agreed specifications
• We will use industry-standard security practices
• Software will be free from material defects for 90 days post-delivery

Disclaimer

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

To the maximum extent permitted by law:

• CodeVoyage's total liability shall not exceed the amount paid for services in the 12 months preceding the claim
• We shall not be liable for indirect, incidental, special, or consequential damages
• We are not liable for business interruption, lost profits, or data loss
• Liability limitations apply regardless of the form of action

9. Indemnification

Client agrees to indemnify and hold harmless CodeVoyage from any claims, damages, or expenses arising from: (a) Client's use of deliverables, (b) Client's breach of these Terms, (c) Client's violation of any law or third-party rights, or (d) any content or data provided by Client.

10. Termination

Termination for Convenience

Either party may terminate ongoing services with 30 days written notice. Client remains responsible for payment of all work completed and costs incurred.

Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 15 days written notice.

11. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or pandemic-related restrictions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the state where CodeVoyage LLC is incorporated, without regard to conflict of law principles.

Any disputes shall first be addressed through good faith negotiations. If unresolved, disputes may be submitted to binding arbitration or resolved in courts of competent jurisdiction.

13. General Provisions

Entire Agreement

These Terms, together with any Service Agreements and our Privacy Policy, constitute the entire agreement between the parties.

Modifications

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
